Scribe Creator Agreement

This Creator Agreement (“Agreement”) is entered into between SCRIBE by NOVAE (“SCRIBE”, “Company”, “we”, “our”) and the individual or entity registering as a Creator (“you”, “Creator”) on the SCRIBE platform.

By submitting designs, participating in the SCRIBE platform, or selling products through SCRIBE, you agree to the terms of this Agreement.

1. Platform Overview

SCRIBE is a creator-driven platform operated by NOVAE that enables creators to:

• Submit original artwork or designs

• Launch apparel products featuring their designs

• Earn revenue from sales generated through the platform

All designs submitted to SCRIBE are subject to review, approval, and moderation by the SCRIBE team.

SCRIBE reserves the right to approve, reject, modify, or remove any submitted design at its sole discretion.

2. Creator Eligibility

To participate in SCRIBE, you must:

• Be at least 18 years old, or have parental/legal guardian consent

• Provide accurate and complete personal information

• Own or have legal rights to use the content submitted to the platform

SCRIBE may suspend or terminate accounts providing false or misleading information.

3. Ownership of Content

Creators retain ownership of the original intellectual property for the designs they submit.

However, by submitting content to SCRIBE, you grant NOVAE and SCRIBE a worldwide, non-exclusive, royalty-bearing license to:

• Manufacture products featuring the design

• Display the design on the SCRIBE platform

• Promote and market the design across marketing channels

• Sell products containing the design

This license remains valid as long as the design is active on the platform.

4. Intellectual Property & Copyright

Creators must ensure that all submitted content:

• Is original work created by the creator

• Does not infringe on copyrights, trademarks, or other intellectual property rights

• Does not include protected logos, brand marks, celebrity likeness, or copyrighted artwork

If SCRIBE receives a copyright complaint or legal notice, the platform may:

• Immediately remove the design

• Suspend creator access

• Withhold payments related to the disputed design

Creators agree to indemnify and hold SCRIBE harmless from any claims arising from copyright infringement.

5. Design Moderation

SCRIBE reserves the right to remove or reject designs that contain:

• Hate speech

• Harassment or discrimination

• Illegal content

• Explicit or adult material

• Violent or harmful messaging

Design approval is entirely at the discretion of SCRIBE.

6. Revenue & Payments

Creators may earn revenue from the sale of products featuring their approved designs.

Payment terms include:

• Revenue share percentage determined by SCRIBE

• Payments issued according to the platform’s payout schedule

• Minimum payout thresholds may apply

Payments will only be issued for valid, completed transactions.

SCRIBE may withhold payments if:

• Fraudulent activity is detected

• Copyright violations occur

• Orders are refunded or disputed

Creators are responsible for providing accurate payment details.

7. Pricing & Product Control

SCRIBE maintains full control over:

• Product pricing

• Discounts and promotions

• Product availability

• Manufacturing and fulfillment

Creators may not set final product prices unless specifically permitted by the platform.

8. Creator Promotion

Creators are encouraged to promote their collections through:

• Social media

• Personal websites

• Creator communities

However, creators must not:

• Misrepresent SCRIBE or NOVAE

• Run misleading advertisements

• Manipulate sales through fraudulent purchases or bots

Violation may result in account suspension.

9. Account Suspension & Termination

SCRIBE may suspend or terminate creator accounts if:

• Platform rules are violated

• Fraudulent activity is detected

• Intellectual property violations occur

• The creator damages the brand reputation of NOVAE or SCRIBE

Upon termination:

• Designs may be removed from the platform

• Pending payments may be withheld pending investigation

10. Platform Changes

SCRIBE reserves the right to modify:

• Revenue sharing models

• Platform features

• Creator program structure

• Policies and agreements

Continued use of the platform constitutes acceptance of updated terms.

11. Limitation of Liability

SCRIBE and NOVAE are not liable for:

• Loss of earnings or expected profits

• Sales performance of creator designs

• Technical downtime of the platform

• Removal of content due to policy violations

Participation in SCRIBE does not guarantee sales or income.

12. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of India.

Any disputes arising from this agreement shall be subject to the jurisdiction of courts located in Delhi, India.
